Private Offerings
A capital raise that involves the distribution of equity/debt in the form of securities to a fairly small, and usually an intimate group of select investors. With far less regulatory requirements than an IPO, namely SEC registrations, it does have controls that must be met. First, the accreditation of investors must be confirmed, and a memorandum must be created. This, due to the fact that an inherent understanding of its scope, needs to be demonstrated, before investing in a private, non-reporting company.
While a private placement is less expensive, and takes less time to consummate than an IPO, the elevated risk, leading to an elevated expectation of a potential ROI for investors, is far greater than its counterpart.
Public Offerings
The first time that stock in a private company is offered out to the investing public, happens during its initial public offering of its shares. This process in lengthy, expensive, highly regulated, and extremely entailed.
